1. Acceptance of Terms
By accessing or using the Remotkey mobile application ("App") and related services ("Services"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you may not use the App or Services.
These Terms constitute a legally binding agreement between you and Remotkey ("we," "our," or "us"). We reserve the right to modify these Terms at any time, and such modifications will be effective immediately upon posting. Your continued use of the App after any such modifications constitutes your acceptance of the modified Terms.
2. Description of Service
Remotkey is a property and task management platform that connects property owners, managers, and staff members. The App provides:
- Task assignment and management services
- Property management and tracking
- Location-based services including geofencing
- Payment processing and financial transactions
- Communication and notification services
- Referral program features
We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice.
3. Eligibility and Age Requirement
You must be at least 18 years old to use this App.
By using the App, you represent and warrant that:
- You are at least 18 years of age
- You have the legal capacity to enter into these Terms
- You are not prohibited from using the Services under applicable law
- All information you provide is accurate, current, and complete
If you are under 18, you may not use the App. We reserve the right to verify your age and may suspend or terminate accounts that violate this requirement.
4. User Accounts and Registration
4.1 Account Creation
To use certain features of the App, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and update your account information to keep it accurate
- Maintain the security of your account credentials
- Accept responsibility for all activities that occur under your account
- Notify us immediately of any unauthorized use of your account
4.2 Authentication
The App uses email and OTP (One-Time Password) verification for authentication. You are responsible for:
- Maintaining access to your registered email address
- Keeping your phone number current for OTP verification
- Not sharing your OTP codes with others
4.3 Account Security
You are solely responsible for maintaining the confidentiality of your account credentials. You agree to:
- Use a strong, unique password
- Not share your account credentials with anyone
- Log out of your account when using shared devices
- Immediately notify us of any suspected security breach
4.4 Account Termination
We reserve the right to suspend or terminate your account at any time, with or without notice, for:
- Violation of these Terms
- Fraudulent, abusive, or illegal activity
- Providing false or misleading information
- Any other reason we deem necessary to protect the Services or other users
5. Staff Accounts and Payment Setup
5.1 Staff Registration
Staff members must complete additional registration requirements, including:
- Providing valid identification documents
- Completing Stripe Connect account setup for payment processing
- Providing accurate personal and financial information
- Meeting all eligibility requirements for payment processing
5.2 Stripe Account Requirements
Staff members who receive payments through the App must:
- Be at least 18 years of age
- Provide accurate personal information (name, date of birth, SSN, address)
- Provide valid bank account information for payouts
- Comply with Stripe's Terms of Service and applicable financial regulations
- Maintain accurate and up-to-date payment information
By creating a Stripe Connect account, you also agree to Stripe's Terms of Service, available at stripe.com/legal.
5.3 Payment Account Verification
We reserve the right to verify your identity and payment account information. Failure to provide accurate information or complete verification may result in:
- Suspension of payment processing
- Account suspension or termination
- Legal action if fraudulent information is provided
6. Acceptable Use Policy
You agree not to use the App or Services to:
- Violate any applicable laws, regulations, or third-party rights
- Transmit any harmful, offensive, or illegal content
- Impersonate any person or entity or misrepresent your affiliation
- Interfere with or disrupt the Services or servers
- Attempt to gain unauthorized access to any part of the Services
- Use automated systems (bots, scrapers) to access the Services
- Reverse engineer, decompile, or disassemble any part of the App
- Remove or alter any copyright, trademark, or proprietary notices
- Collect or harvest information about other users
- Engage in any fraudulent, deceptive, or manipulative activity
- Use the Services for any commercial purpose not authorized by us
Violation of this Acceptable Use Policy may result in immediate account termination and legal action.
7. Location Services and Geofencing
7.1 Location Data Collection
The App uses location services to provide geofencing and location-based features. By using the App, you consent to:
- Collection of your real-time GPS location data
- Use of geofencing technology to detect when you enter or exit property locations
- Storage of location history related to task completion
7.2 Location Permissions
Location services require your explicit permission. You can:
- Grant or deny location permissions through your device settings
- Disable location services at any time
- Understand that disabling location services may limit App functionality
7.3 Use of Location Data
Location data is used for:
- Verifying task completion at property locations
- Enabling geofencing features
- Providing maps and navigation services
- Improving service delivery and accuracy
Location data is collected only when the App is in use and you have granted permission. We do not track your location when the App is not in use.
8. Task Management
8.1 Task Assignment
Tasks may be assigned to you through the App. You agree to:
- Complete assigned tasks in a timely and professional manner
- Provide accurate information about task completion
- Submit required documentation (photos, receipts) when requested
- Report any issues or problems with assigned tasks
8.2 Task Completion
Task completion may require:
- Physical presence at the property location (verified via geofencing)
- Submission of completion documentation
- Accurate reporting of hours worked and expenses
8.3 Task Quality Standards
You agree to perform all tasks according to professional standards and best practices.
9. Payments and Financial Transactions
9.1 Payment Processing
All payments are processed through Stripe, a third-party payment processor. By using payment features, you agree to:
- Comply with Stripe's Terms of Service
- Provide accurate payment and banking information
- Authorize us to process payments on your behalf
- Understand that payment processing is subject to Stripe's policies and fees
9.2 Payment Terms for Staff
Staff members who receive payments through the App:
- Must have a valid Stripe Connect account
- Will receive payments according to the payment schedule and terms agreed upon
- Are responsible for any taxes on payments received
- Must provide accurate tax information when required
9.3 Payment Disputes
Payment disputes must be reported within 30 days of the transaction. We will investigate disputes in good faith but are not responsible for:
- Disputes between users and third parties
- Stripe's payment processing decisions
- Banking or financial institution issues
9.4 Refunds
Refund policies are determined on a case-by-case basis. We reserve the right to:
- Refuse refunds for completed services
- Process refunds according to our refund policy
- Deduct applicable fees from refunds
10. Referral Program
10.1 Referral Terms
The App includes a referral program that allows users to earn commissions by referring new users. By participating in the referral program, you agree to:
- Use referral codes only for legitimate referrals
- Not engage in fraudulent or deceptive referral practices
- Comply with all referral program rules and limitations
- Understand that referral commissions are subject to our terms and may change
10.2 Referral Commissions
Referral commissions:
- Are subject to our referral program terms and conditions
- May be modified or discontinued at any time
- Are paid according to our payment schedule
- May be subject to minimum thresholds or other requirements
10.3 Prohibited Referral Activities
The following referral activities are prohibited:
- Creating fake accounts or using multiple accounts to generate referrals
- Using automated systems or bots to generate referrals
- Spamming or harassing others to use your referral code
- Misrepresenting the referral program or benefits
Violation of referral program terms may result in forfeiture of commissions and account termination.
11. Intellectual Property
11.1 Our Intellectual Property
The App, Services, and all content, features, and functionality are owned by Remotkey and are protected by copyright, trademark, and other intellectual property laws. You may not:
- Copy, modify, or distribute any part of the App or Services
- Use our trademarks, logos, or brand names without permission
- Reverse engineer or attempt to extract source code
- Create derivative works based on the App or Services
11.2 User Content
You retain ownership of content you submit through the App. However, by submitting content, you grant us:
- A worldwide, non-exclusive, royalty-free license to use, reproduce, and distribute your content
- The right to use your content for the purpose of providing and improving the Services
- The right to remove or modify your content at our discretion
11.3 Content Standards
You agree that any content you submit:
- Does not violate any laws or third-party rights
- Is accurate and not misleading
- Does not contain harmful, offensive, or illegal material
- Does not infringe on intellectual property rights
12. Notifications and Communications
12.1 Push Notifications
The App sends push notifications about tasks, payments, and important updates. By using the App, you consent to receive these notifications. You can:
- Manage notification preferences in the App settings
- Disable push notifications through your device settings
- Understand that disabling notifications may affect your ability to use certain features
12.2 Email Communications
We may send you emails related to:
- Account updates and security notifications
- Service announcements and changes
- Marketing communications (you can opt out)
- Legal notices and policy updates
13. Third-Party Services
The App integrates with third-party services, including:
- Stripe: Payment processing
- Firebase (Google): Push notifications and analytics
- Google Maps: Maps and location services
- Twilio: SMS/OTP delivery
Your use of these third-party services is subject to their respective terms and conditions. We are not responsible for:
- Third-party service availability or performance
- Third-party service terms, policies, or practices
- Any issues arising from third-party service integration
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, REMOTKEY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
Our total liability to you for all claims arising from or related to the use of the App or Services shall not exceed the amount you paid to us in the twelve (12) months preceding the claim, or $100, whichever is greater.
We do not warrant that:
- The App or Services will be uninterrupted or error-free
- Defects will be corrected
- The App or Services are free of viruses or other harmful components
- The results obtained from using the Services will meet your requirements
15. Indemnification
You agree to indemnify, defend, and hold harmless Remotkey, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including attorney's fees) arising from:
- Your use of the App or Services
- Your violation of these Terms
- Your violation of any third-party rights
- Any content you submit through the App
- Your fraudulent or illegal activity
16. Termination
16.1 Termination by You
You may terminate your account at any time by contacting us through the App or requesting account deletion through the App settings.
16.2 Termination by Us
We may terminate or suspend your account immediately, without prior notice, for:
- Violation of these Terms
- Fraudulent, abusive, or illegal activity
- Non-payment of fees (if applicable)
- Extended periods of inactivity
- Any other reason we deem necessary
16.3 Effect of Termination
Upon termination:
- Your right to use the App and Services will immediately cease
- We may delete your account and data, subject to legal retention requirements
- You remain responsible for any obligations incurred before termination
- Provisions that by their nature should survive termination will survive
17. Dispute Resolution
17.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of Vail, CO, US, without regard to its conflict of law provisions.
17.2 Dispute Resolution Process
In the event of any dispute arising from or relating to these Terms or the Services:
- Informal Resolution: You agree to first contact us to seek an informal resolution.
- Mediation: If informal resolution fails, disputes may be resolved through mediation.
- Arbitration: If mediation fails, disputes shall be resolved through binding arbitration in accordance with applicable arbitration rules.
- Court Action: Either party may seek injunctive relief in court to prevent irreparable harm.
17.3 Class Action Waiver
You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
18. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by:
- Posting the updated Terms in the App
- Updating the "Last Updated" date
- Sending a notification through the App or email (for material changes)
Your continued use of the App after any such modifications constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the App and may terminate your account.
19. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
20. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Remotkey regarding the use of the App and Services, and supersede all prior agreements and understandings.
21. Waiver
No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or condition or any other term or condition. Any failure to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
